Terms and Conditions of Sale

This document constitutes Waste Container Systems, LLC’s (“WCS”) acknowledgment of the Purchase Order issued by you, the Buyer, for the purchase of WCS products as described in the order, hereafter referred to as Product.

By placing an Order, Buyer makes an offer to purchase the Product in accordance and agreement with the Terms and Conditions of Sale contained in this document as posted on the WCS website.

Acceptance of Order

  • Orders are not binding until accepted in writing by WCS.
  • By placing an order, the buyer agrees to abide by the terms and conditions laid out in this document.
  • Any changes desired to these terms by the buyer must be agreed to in writing and signed by all parties.
  • Orders must specify quantity, the destination of shipping/receiving, and the requested ship date.
  • Orders shall include applicable billing information.

Prices

  • All prices are in U.S. dollars. Prices may not include shipping, handling, and other miscellaneous costs associated with exporting to customers outside the U.S.
  • Unless tax-exempt, taxes will be added to the invoice. Buyer’s with tax-exempt status must provide the current exemption certificate to WCS prior to shipment.

Payment Terms

  • Payment terms are due as noted on the invoice.
  • All payments shall be made in U.S. dollars.
  • Interest and/or service charges may be added to late payments.

Shipment

  • Shipping cost is determined based on WCS’s designated shipping point to customers specified delivery address. Shipping quotes are estimates and will be finalized prior to delivery. Changes in shipping or handling costs occurring prior to delivery will be reflected on the final invoice.
  • Charges related to shipping may be prepaid by WCS and added to the invoice.
  • Should no specific instructions or arrangements be provided from Byer regarding shipping, WCS shall determine the mode and routing of shipment.

Delivery

  • Buyer assumes the risk of loss or damage once the product is loaded for shipment with the selected carrier.
  • All claims regarding loss or damage during shipping must be submitted to the carrier.
  • Buyer must take delivery of the product and document the damage or shortage in accordance with procedures designated by the carrier.
  • Buyer shall inspect the product upon delivery and notify WCS of any discrepancies between the invoice and the delivered contents.
  • Buyer is responsible for the unloading of the product.

Delivery Dates

  • All shipping and delivery dates, including those established by the freight company, are estimates and are not to be considered a guarantee of product delivery.

Modification or Cancellation

  • All changes to existing orders must be requested in writing and signed and accepted by WCS.
  • WCS reserves the right to adjust pricing based on changes to the order.

Product Return Policy

  • All returns must be authorized by WCS prior to shipping and acceptance. The product must be returned in the same condition as shipped by WCS.
  • Buyer will be charged for replacement parts if needed upon return.
  • Buyer is responsible for prepayment of return shipping costs unless other terms are agreed to in writing by WCS.

Product Design and Intellectual Property

  • The Buyer hereby agrees to use of the Product, honor the patents of the Product, and in no way shall duplicate, reverse engineer, produce, copy, or alter the Product in any way.
  • Buyer shall not cover or remove any trademarks placed on the product by WCS.
  • Buyer is granted permission to affix graphics or text pertinent to their business on the front panel of the product and to affix any required safety or information decals as needed to meet local or company policies.
  • The Product cannot be sold or re-sold by anyone except WCS and its authorized agents.

Delays Resulting from Acts Beyond Control of WCS

  • WCS shall not be in default of these terms when completion and/or delivery of order is caused to be delayed or impossible as a result of acts beyond the control of WCS including but not limited to:
    • Acts of God
    • Natural Disasters (Floods, fires, storms, etc. )
    • Material Shortages
    • Civil Unrest/Riots
    • War
    • Embargoes

Use of Product

  • It is the buyer’s responsibility to install, use, and maintain the product in accordance with all applicable industry and government regulations. Failure to do so will result in the voiding of any and all warranties or guarantees.
  • Our product is used for the removal of MSW, and recycling of household and office waste. Our dumpster is not designed to accept the disposal of construction debris, concrete, steel, and similar materials.

Governing Law

  • All legal aspects of these terms and conditions shall be governed by the laws of the state of Minnesota, specifically Hennepin County.

Compliance with Applicable Export Rules and Regulations

  • Exportation of WCS products from the United States is done in accordance with, and subject to, the applicable regulations and statutes on economic sanctions and trade embargoes. Buyer diversion, export or re-export, other transfer, finance, or facilitation is at Buyer’s own expense; and if contrary to applicable laws, statutes or regulations are expressly prohibited and at Buyer’s own risk.

Warranty and Remedies

  • Products are guaranteed against defects and workmanship for a period of twenty-four (24) months under normal commercial use as described above in the Product Use section. The guarantee does not apply to lids, casters, or bags (see bag warranty below).
  • The warranty period for the polybag liner is twelve (12) months under normal use for the collection of MSW and Recycling.
  • If the product is deemed to be defective by WCS, one or more of the following steps will be taken at the discretion of WCS.
    • Repair or replace the product.
    • Refund the buyer an amount equal to the purchase prices of the defective product.
    • Claims are accepted only from the original purchaser.
  • Additional third-party warranties may apply.
